Scheme Mergers, Reconstructions and Terminations

Our Pensions team is experienced at advising on pension scheme mergers and on the scheme wind up process in various different scenarios.

Many employers are restructuring the benefits provided under pension schemes (particular defined benefit schemes) as a reaction to changes in legislation and the rising cost of final salary schemes. Our Pensions team have been involved in a number of projects from providing legal analysis in assessment stages, negotiations between trustees and employers, consultation with members, formal documentation to full project management.

Scheme mergers can be a useful method of consolidating pension arrangements after the acquisition of a company and often result in advantages to scheme members, trustees and employers. The employers and trustees of all of the schemes involved will wish to ensure that whilst the objectives behind the merger proposals are met as promptly and easily as possibly, all parties will ensure that they comply with their duties and the legal requirements.

In addition to restructuring pension schemes, our Pensions team have experience and knowledge in assisting employers and trustees regarding scheme terminations (whether in respect of future accrual or full termination resulting in buyout). 

We have also experience of advising and guiding trustees (and previous employers) in relation to schemes (or sections thereof) with regard to Pension Protection Fund (and the Financial Assistance Scheme) through the relevant legal and regulatory requirements and processes.

Our approach in all these matters is to ensure that our client's objectives are met and members’ benefits protected, anticipating and avoiding any difficulties and working with our clients and the other parties and advisers involved to ensure that those objectives can be achieved as easily as possible and, where appropriate, with the agreement of all parties concerned.
